1. INTRODUCTION:

    1. MUTUAL COMMITMENT STATEMENT 🤝 : “BE” or simply the “Company” recognizes that in order to develop a long-term and mutually rewarding relationship with its independent business owners – distributors (“Affiliates”) and retail customers (“Customers”), BE and its Affiliates must acknowledge and respect the true nature of the relationship.
      1. In the spirit of mutual respect and understanding, BE is committed to:
        1. Provide prompt, professional and courteous service and communications to all of its Affiliates and Customers;
        2. Provide the highest level of quality products, at fair and reasonable prices;
        3. Ensure prompt and accurate delivery of orders;
        4. Pay commissions accurately and on a timely basis;
        5. Expedite orders or checks if an error or unreasonable delay occurs;
        6. Roll out new products and programs with Affiliates’ input and planning;
        7. Support, protect and defend the integrity of the BE sales opportunity; and
        8. Offer the Affiliates an opportunity to grow with BE
      2. In return, BE expects that its Affiliate will:
        1. Conduct themselves in a professional, honest, and considerate manner;
        2. Present BE Corporate and product information in an accurate and professional manner;
        3. Present the Compensation Plan and Refund and Cancellation Policy in a complete and accurate manner;
        4. Not make exaggerated income or lifestyle claims, and make all claims with appropriate Earning Disclosure;
        5. Make reasonable effort(s) to support and train Affiliates and Customers in their organization on the use of the Product and Services and expand the business of BE to retail Customers;
        6. Not engage in cross-line signup, unhealthy competition or unethical business practices;
        7. Provide positive guidance and training to Affiliates and Customers in their organization while exercising caution to avoid interference with other organization. As such, an Affiliate is discouraged from providing cross-line training to an Affiliate or Customer in a different organization without first obtaining the written consent of the Affiliate’s or Customer’s upline leader;
        8. Support, protect, and defend the integrity of the BE sales opportunity;
        9. Accurately complete and submit the Affiliate Agreement and any requested supporting documentation in a timely manner; and
        10. Shall not harass, threaten, defame, or disparage any Affiliate, Customer, BE or its representatives.
  2. BE POLICIES AND COMPENSATION PLAN INCORPORATED INTO THE AFFILIATE AGREEMENT**:** Throughout these Policies, when the term “Agreement” is used, it collectively refers to the Earning Disclosure Statement, Policies and Procedures, Privacy Policy, Compensation Plan, Affiliate Agreement, Terms of Use and any other document. It is the responsibility of the signup Affiliate to provide the most current version of these Policies and Procedures (available on the BE website) and the Compensation Plan to each applicant prior to execution of the Affiliate Agreement.

  3. PURPOSE OF POLICIES:

    1. BE is an affiliate network company that markets products and services through a network of affiliates known as Affiliates. To clearly define the relationship that exists between Affiliate and BE, and to explicitly set a standard for acceptable business conduct, BE has established these Policies and Procedures.
    2. BE Affiliates are required to comply with;
      1. all of the Terms and Conditions set forth in the Affiliate Agreement, which BE may amend from time to time in its sole discretion;
      2. all federal, state and/or local laws governing BE business;
      3. these Policies and Procedures;
      4. applicable Code of Ethics; and
      5. any other applicable regulations or requirements as required by BE.
    3. BE Affiliates must review the information in these Policies and Procedures carefully. Should an Affiliate have any questions regarding a policy or rule, the Affiliate is encouraged to seek an answer from their signup Affiliate or any other upline. If further clarification is needed the Affiliate may contact BE Customer Service.
  4. CHANGES, AMENDMENTS AND MODIFICATIONS:

    1. Because federal, State, and local laws, as well as the business environment, periodically change, BE reserves the right to amend the Agreement and the prices in its BE Product Price List at its sole and absolute discretion. Notification of amendments shall appear in Official BE Materials or website.
    2. Any such amendment, change, or modification shall be effective immediately upon notice by one of the following methods:
      1. posting on the BE Website; or
      2. notification via email; or
      3. notification through the BE newsletters or other BE communications channels.

    <aside> 📢 NOTWITHSTANDING ANYTHING TO THE CONTRARY ABOVE, ANY AMENDMENT BY THE COMPANY TO THE DISPUTE RESOLUTION SECTION HEREIN SHALL ONLY TAKE EFFECT UPON AN AFFILIATE'S EXPRESS AGREEMENT TO SUCH AMENDMENT. AN AFFILIATE MAY INDICATE THEIR AGREEMENT TO SUCH PROPOSED AMENDMENT BY FOLLOWING THE INSTRUCTIONS ACCOMPANYING THE PROPOSED AMENDMENT THAT WILL APPEAR WHEN LOGGING IN TO THE CORPORATE WEBSITE OR, THE AFFILIATES PERSONAL WEBSITE. THE COMPANY MAY TERMINATE THE AFFILIATE AGREEMENT IF THE AFFILIATE DOES NOT AGREE TO A PROPOSED AMENDMENT TO THE DISPUTE RESOLUTION SECTION WITHIN 7 CALENDAR DAYS AFTER THE EFFECTIVE DATE OF THE AMENDMENT. ANY SUCH AMENDMENT SHALL APPLY TO ALL CLAIMS BROUGHT BY THE COMPANY OR THE AFFILIATE ON OR AFTER THE EFFECTIVE DATE OF THE AMENDMENT, REGARDLESS OF THE DATE OF OCCURRENCE OR ACCRUAL OF ANY FACTS UNDERLYING SUCH CLAIM.

  5. DELAYS: BE shall not be responsible for delays or failures in the performance of its obligations when such failure is due to circumstances beyond its reasonable control. This includes, without limitation, strikes, labour difficulties, transportation difficulties, riot, war, fire, and/or weather, pandemic, scheduled maintenance, curtailment of a source of supply, or government decrees or orders.

  6. EFFECTIVE DATE: These Policies and Procedures shall become effective as of the Last Updated Date (“Effective Date”) and, at such time, shall automatically supersede any prior Policies and Procedures (“Old Policies and Procedures”), and, on that date, the Old Policies and Procedures shall cease to have any force or effect.

  7. BASIC PRINCIPLES:

    1. BECOMING A BE AFFILIATE: To become an Affiliate, an applicant must comply with the following requirements:
      1. Be of the age of majority (not a minor) in his or her state of residence;
      2. Have a valid address proof of the country where BE operates;
      3. Have a valid taxpayer identification number (i.e. Social Security Number, Federal Tax ID Number, ITIN, VAT etc.);
      4. Submit a properly completed and signed Affiliate Agreement to BE;
      5. Not be a BE employee, the spouse of a BE employee or related to an employee of BE and living in the same household as such BE employee.
    2. NEW AFFILIATE REGISTRATION:
      1. A potential new Affiliate may self-enrol on the Company's corporate website or a signup Affiliate’s replicated website. In such an event, instead of a physically signed Affiliate Agreement, BE will accept the electronic Affiliate Agreement by way of web signup and one’s “electronic signature”/”Click-Wrap Agreement”. This electronic signature signifies that the new Affiliate has accepted the Terms and Conditions of the Affiliate Agreement. Please note that such an electronic signature constitutes a legally binding agreement between you and the Company.
      2. BE reserves the right to require signed paperwork for any account, regardless of origin and at any stage.
    3. RIGHTS GRANTED: BE hereby grants to the Affiliate a non-exclusive right, based upon the Terms and Conditions contained in the Affiliate Agreement and these Policies and Procedures, to:
      1. Promote and market products and services marketed by BE; and
      2. Signup new Affiliates and Customers in the jurisdictions where BE operates.
    4. IDENTIFICATION DOCUMENTS:
      1. Each Affiliate is required to provide their Social Security Number, Personal Tax Code, or Federal Tax Identification Number, to BE on the Affiliate Agreement. BE reserves the right to withhold commission payments from any Affiliate who fails to provide such information or who provides false information.
      2. Upon signup, BE will provide a BE Identification Number to the Affiliate. This number will be used to place orders, structure organizations, and track commissions and bonuses.

    <aside> 📢 BE, at its sole direction, might ask all or any specific Affiliate at any stage to go through a detailed third-party KYC, KYB or AML screening. BE reserves the right to withhold commission payments from any Affiliate who fails to provide such information or who provides false information.

    1. RENEWALS AND EXPIRATION OF THE AFFILIATE AGREEMENT:

      1. The Affiliate Agreement shall remain valid unless terminated by either party as required under the applicable clauses.
      2. Any Affiliate who was terminated or whose Agreement has expired shall not eligible to re-apply for a BE business for 12 months following the expiration/termination date of the Affiliate Agreement. However, BE’s Compliance Team and the Senior Management have the sole discretion to waive this requirement on case to case basis.
    2. INDEPENDENT BUSINESS RELATIONSHIP; INDEMNIFICATION FOR ACTIONS:

      1. The BE Affiliate is an independent contractor and not a purchaser of a franchise or sales opportunity. Therefore, each Affiliate’s success depends on their independent efforts.
      2. The Agreement between BE and its Affiliates does not create an employer/employee relationship, agency, partnership, or joint venture between BE and the Affiliate.
      3. The BE Affiliate is fully responsible for all of their verbal and written communications made regarding BE products, services, and the Compensation Plan that are not expressly contained within official BE materials or in contravention of these Policies and Procedures. Affiliate shall indemnify and hold harmless BE, its directors, officers, employees, product suppliers and agents from any and against all liability including judgments, civil penalties, refunds, attorney fees and court costs incurred by BE as a result of the Affiliate’s unauthorized representations or actions. This provision shall survive the termination of the Affiliate Agreement.
      4. Affiliate shall be liable to pay a penalty of USD 100 per day which shall be deducted from their commission or can be claimed via arbitration or litigation proceeding for not complying with any compliance instructions provided by BE’s Legal and Compliance Team. This penalty shall accumulate on a daily basis till such compliance actions are executed in full and to the satisfaction of BE’s Legal and Compliance Team. A terminated Affiliate shall also be liable to pay this penalty.

      <aside> 📢 A BE AFFILIATE SHALL NOT BE TREATED AS AN EMPLOYEE OF BE FOR ANY PURPOSES, INCLUDING, WITHOUT LIMITATION, FOR FEDERAL OR STATE TAX PURPOSES. ALL AFFILIATES ARE RESPONSIBLE FOR PAYING LOCAL, STATE, AND FEDERAL TAXES DUE FROM ALL COMMISSIONS EARNED AS AN AFFILIATE OF BE.

      ANY OTHER COMPENSATION RECEIVED BY AFFILIATES FROM BE WILL BE GOVERNED BY APPLICABLE TAX LAWS OF THE APPLICABLE JURISDICTION. THE AFFILIATE HAS NO EXPRESS OR IMPLIED AUTHORITY TO BIND BE TO ANY OBLIGATION OR TO MAKE ANY COMMITMENTS BY OR ON BEHALF OF BE.

      EACH AFFILIATE SHALL ESTABLISH ITS OWN GOALS, HOURS, AND METHODS OF OPERATION AND SALE, SO LONG AS THEY COMPLY WITH THE TERMS OF THE AFFILIATE AGREEMENT, THESE POLICIES AND PROCEDURES AND APPLICABLE STATE, FEDERAL AND PROVINCIAL LAWS.

      BE DOES NOT MANDATE ANY DEFINED NUMBER OF REQUIRED HOURS FOR AFFILIATES, DOESN'T PROVIDE ANY ASSETS, AND HAS NO VACATION (PAID OR UNPAID) OR BONUS POLICY FOR AFFILIATES.

    3. ERRORS OR QUESTIONS: If an Affiliate has questions about, or believes any errors have been made regarding commissions, bonuses, business reports, orders, or charges, the Affiliate must notify BE in writing within 7 calendar days from the date of the error or incident in question, else shall be termed expressly waived by the concerned Affiliate.

  8. AFFILIATES’ RESPONSIBILITIES AND WARRANTIES:

    1. TRAINING AND LEADERSHIP:

      1. Any BE Affiliate who signup another Affiliate into BE must perform an authentic assistance and training function to ensure their organization is properly operating BE business. Signup Affiliates should have ongoing contact and communication with the Affiliates in their organizations. Examples of communication may include, but are not limited to, newsletters, written correspondence, telephone, contact, team calls, voice-mail, e-mail, personal meetings, accompaniment of organization Affiliates to BE meetings, training sessions and any other related functions.
      2. A signup BE Affiliate should monitor the Affiliates in their organizations to ensure that organization Affiliates do not make improper product or business claims, or engage in any illegal or inappropriate conduct. Upon request, such Affiliates should be able to provide documented evidence to BE of their ongoing fulfilment of the responsibilities of a Signup Affiliate, else shall be liable for the actions of their organization and shall indemnify BE.
      3. Upline Affiliates are encouraged to motivate and train new Affiliates about BE’s products and services, effective sales techniques, the BE Compensation Plan and compliance with company Policies and Procedures.
      4. Marketing product is a required activity in BE and must be emphasized in all signup presentations. In fact, the Company emphasizes and encourages all its Affiliates to only market and promote the BE’s products and services to Customers. No commission shall ever be paid for the mere signup of a new Affiliate.
      5. USE OF SALES AIDS: To promote both the products and the opportunity BE offers, Affiliates must use the sales aids and support materials produced by BE. If BE Affiliates develop their own sales aids and promotional materials, which includes Internet advertising, notwithstanding Affiliate's good intentions, they may unintentionally violate any number of statutes or regulations affecting the BE business. These violations, although they may be relatively few in number, could jeopardize the BE opportunity for all Affiliates. Accordingly, Affiliates must submit all written sales aids, promotional materials, advertisements, websites and other literature to the Company for Company’s approval prior to use. Unless the Affiliate receives specific written approval to use the material, the request shall be deemed denied. All Affiliates shall safeguard and promote the good reputation of BE and its products. The marketing and promotion of BE, the BE opportunity, the Compensation Plan, and BE products and services shall be consistent with the public interest and must avoid all discourteous, deceptive, misleading, unethical or immoral conduct or practices.
      6. Notwithstanding anything provided in these Policies and Procedures, no Affiliate (irrespective of their rank) can use their own slides or presentations. An Affiliate can only use official BE slides or presentations unless a written exception is provided by the BE’s Compliance Team.
    2. CONSTRUCTIVE CRITICISM; ETHICS:

      1. BE desires to provide its independent Affiliates with the best products and services and Compensation Plan in the industry. Accordingly, BE values constructive criticism and encourages the submission of written comments addressed to BE Compliance Team.

      2. Negative and disparaging comments about BE, its products or Compensation Plan, by Affiliates, made to BE, in the Field or at BE meetings or events, or disruptive behavior at BE meetings or events, serve no purpose other than to dampen the enthusiasm of other BE Affiliates. BE Affiliates must not belittle BE, other BE Affiliates, BE products or services, the Compensation Plan, or BE directors, officers, or employees, product suppliers or agents. Such conduct represents a material breach of these Policies and Procedures and may be subject to sanctions as deemed appropriate by BE.

      3. BE is committed to providing Affiliates with a sales environment free from harassment, intimidation, and abuse from other Affiliates, employees, vendors, and any other individuals in the workplace. At BE, harassment of any kind will not be tolerated and is strictly prohibited, such as: derogatory or threatening comments, inappropriate sexual behaviour including but not limited to unwelcome sexual advances or requests for sexual favours, displaying visual images of a sexual nature, physical or verbal harassment, or violent conduct. BE Affiliates are encouraged to report any type of harassment incidents immediately. BE will not tolerate acts or threats of violence and will investigate all reports. BE can take action if the concerned reporting Affiliate provides us with the necessary information, evidences and a written complaint made to the Compliance Team of BE through a formal channel like emails.

      4. BE ENDORSES THE FOLLOWING CODE OF ETHICS:

        1. A BE Affiliate must show fairness, tolerance, and respect to all people associated with BE, regardless of race, gender, social class or religion, thereby fostering a “positive atmosphere” of teamwork, good morale and community spirit.
        2. An Affiliate shall strive to resolve business issues, including situations with upline and organization Affiliates, by emphasizing tact, sensitivity, good will and taking care not to create additional problems
        3. BE Affiliates must be honest, responsible, professional and conduct themselves with integrity.
        4. BE Affiliates shall not make disparaging statements about BE, other Affiliates, BE employees, product suppliers or agents, products, services, sales and marketing campaigns, or the Compensation Plan, or make statements that unreasonably offend, mislead or coerce others.
        5. BE Affiliates shall always present accurate information like proper disclaimers/disclosures and access to the Earning Disclosure Statement when encouraging prospects to join the BE business. Moreover, as an Affiliate, you agree to never intimidate nor engage in unlawful signup practices, including any suggestion that excessive inventory purchases are necessary to participate in BE.

        v. BE may take appropriate action against an Affiliate if it determines, in its sole discretion, that an Affiliate’s conduct is detrimental, disruptive, or injurious to BE or to other Affiliates.

    7. ADHERENCE TO LAWS AND ORDINANCES: Many cities and counties have laws regulating certain home-based businesses. In most cases, these ordinances do not apply to Affiliates because of the nature of the business. However, Affiliates must check their local laws and obey the laws that do apply to them. A BE Affiliate shall comply with all federal, state and local laws and regulations in their conduct of BE business.

    8. COMPLIANCE WITH APPLICABLE INCOME TAX LAWS:

    9. ONE BE BUSINESS PER AFFILIATE: An Affiliate may operate or have an ownership interest, legal or equitable, only in one BE business. No individual may have, operate or receive compensation from more than one BE business. Individuals of the same family unit may each enter into or have an interest in their own separate BE businesses, only if each subsequent family position is placed frontline to the first family member signed up. A “family unit” is defined as spouses, father, mother and dependent children. Any violation of this provision shall lead to termination of all accounts of the concerned Affiliate and the commission shall be frozen for at least 6 months. The Company also has a right to enforce a penalty of up to 30% of the pending commission on each account of the Affiliate individually.

    10. ACTIONS OF HOUSEHOLD MEMBERS OR AFFILIATED PARTIES: If any member of an Affiliate’s immediate household engages in any activity which, if performed by the Affiliate, would violate any provision of the Agreement, such activity will be deemed a violation by the Affiliate and BE may take disciplinary action pursuant to these Policies and Procedures against the Affiliate.

    11. SOLICITATION FOR OTHER COMPANIES; OTHER BUSINESS RESTRICTIONS:

    12. PRESENTATION OF THE BE SALES OPPORTUNITY: In presenting the BE opportunity to potential Customers and Affiliates, an Affiliate is required to comply with the following provisions:
